2.1 License

Subject to these Terms, Nvestiv grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Services for your internal business purposes.

Any unauthorized use terminates the license granted herein.

Unless otherwise specified in a separate agreement, Nvestiv is not obligated to provide support, updates, or maintenance.

All rights, title, and interest in the Services, including all content, software, trademarks, and intellectual property, are owned exclusively by Nvestiv or its licensors. Except for the limited rights expressly granted herein, no rights are transferred to you.

2.6 Feedback

If you submit suggestions, feedback, or ideas (“Feedback”), you assign all rights in such Feedback to Nvestiv. Feedback is treated as non-confidential, and Nvestiv may use it without restriction.

3. Your Responsibilities

You agree that you will:

• Use the Services only in accordance with these Terms and all applicable laws;

• Maintain accurate account information;

• Protect your login credentials;

• Comply with the Acceptable Use Policy, which forms part of these Terms;

• Not upload unlawful, infringing, or harmful content.

4. Indemnification

You agree to indemnify, defend, and hold harmless Nvestiv and its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of:

a) Your use of the Services;

b) Your violation of these Terms;

c) Your violation of applicable laws;

d) Your uploaded content or data.

Nvestiv may assume exclusive defense of any matter subject to indemnification at your expense.

The Services may include links to third-party websites, content, or services (“Third-Party Links”). Nvestiv does not control or endorse any Third-Party Links.

You access Third-Party Links at your own risk. Their terms, policies, and privacy practices apply to your use of them.

You are responsible for reviewing any third-party terms prior to use.

6. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

NESTIV AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, SECURITY, OR RELIABILITY.

WITHOUT LIMITATION, NESTIV DOES NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE;

• THE SERVICES WILL BE FREE OF VIRUSES OR HARMFUL CODE;

• THE CONTENT WILL BE ACCURATE OR COMPLETE;

• ANY PARTICULAR RESULTS WILL BE OBTAINED.

Where applicable law does not allow the exclusion of implied warranties, such warranties are limited to the minimum permitted duration.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NESTIV SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES;

• LOSS OF PROFITS, DATA, GOODWILL, OR REVENUE;

• COST OF SUBSTITUTE GOODS OR SERVICES;

• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES.

NESTIV’S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50) IN THE AGGREGATE.

These limitations apply even if Nvestiv has been advised of the possibility of damages.

Some jurisdictions do not allow certain exclusions or limitations; such provisions may not apply to you.

8. Term and Termination

These Terms remain in effect while you use the Services.

Nvestiv may suspend or terminate your access at any time, for any reason, including violations of these Terms.

Upon termination:

• Your rights to use the Services immediately cease;

• Your account may be deleted;

• Certain sections of these Terms continue to apply (including Sections 2.2–2.6, 4–8).

9. General Provisions

9.1 Changes to Terms

Nvestiv may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

9.2 Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflicts of law principles.

9.3 Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not use or export the Services in violation of Canadian, U.S., or international export laws.

9.4 Electronic Communications

By using the Services, you consent to receive electronic communications and agree that such communications satisfy any legal requirements for written notice.

9.5 Entire Agreement

These Terms constitute the entire agreement between you and Nvestiv regarding your use of the Services.

No waiver of any right is effective unless in writing.

If any provision is found unenforceable, the remainder shall remain in full force.

You may not assign these Terms without Nvestiv’s written consent. Nvestiv may assign these Terms freely.
